Kritarth Technologies offers the following services:

1. • Cashback Distribute Service: Kritarth UPI-Led Cashback Distribution Platform.
2. • Invoicing Tools: GST-compliant invoicing software for individuals and businesses.
3. • Custom Software Development: End-to-end development of applications, integrations, and APIs.

Service access may vary based on your account status, verification (KYC), and compliance with applicable laws.

3. User Obligations

You agree to:

1. • Provide accurate and complete information during registration or onboarding.
2. • Maintain the confidentiality of your login credentials.
3. • Use the Services only for lawful purposes.
4. • Comply with applicable RBI, Income Tax, and IT laws.
5. • Not engage in fraudulent, illegal, or abusive activities.
6. • Complete KYC/AML verification as per Indian regulatory guidelines when required.

4. Prohibited Activities

You shall not:

1. • Use the Services for money laundering, terror financing, or fraudulent activities.
2. • Payment processors & banks: For settlement of transactions
3. • Interfere with system functionality, introduce malware, or engage in cyberattacks.
4. • Circumvent security mechanisms.
5. • Copy, reverse-engineer, or modify any component of our software.

Violations may result in account suspension or legal action.

5. Fees and Payments

1. • Fees for Services are mentioned on our website or in custom agreements.
2. • All payments are to be made in Indian Rupees (INR) unless specified.
3. • Taxes such as GST shall be levied as per applicable Indian laws.
4. • Late payments or chargebacks may incur penalties or suspension of Services.

6. Data Privacy

8. Limitation of Liability

To the maximum extent permitted by law, Kritarth Technologies shall not be liable for:

1. • Any indirect, incidental, or consequential damages.
2. • Loss of profits, revenue, or business opportunities.
3. • Downtime, delay, or data loss caused by third-party systems or internet failures.

Our total liability in any matter shall not exceed the amount paid by you to us in the preceding 3 months for the specific Service.

9. Indemnification

You agree to indemnify and hold harmless Kritarth Technologies, its directors, officers, and employees from any claims, damages, liabilities, and expenses arising out of your:

1. • Violation of these Terms;
2. • Misuse of the Services;
3. • Violation of applicable laws or third-party rights.

10. Service Termination

We reserve the right to suspend or terminate your access to the Services if:

1. • You breach these Terms;
2. • We are required to do so under law;
3. • Your activities compromise our system integrity or other users.
4. • Your access to Services will be revoked;
5. • Outstanding dues must be settled immediately;
6. • Data retention and deletion will be handled as per our Privacy Policy.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of *India*. The courts of , NIWARI India shall have exclusive jurisdiction over any disputes.

12. Force Majeure

We shall not be held responsible for any delay or failure to perform due to circumstances beyond our control, including but not limited to acts of God, internet failures, technical disruptions, or governmental actions

13. Amendments

We reserve the right to amend or update these Terms at any time. Users will be notified through email or platform notifications. Continued use of the Services after changes are posted implies acceptance.

14. Kritarth UPI-Led Cashback Distribution Platform

Kritarth Technologies Private Limited provides a UPI-based cashback distribution platform ("Cashback Platform") that enables merchants, brands, and businesses ("Merchants") to distribute promotional cashback or incentives directly to end users via UPI or linked bank accounts.

By using the Cashback Platform, you agree to the following additional terms:

14.1 Nature of Cashback Services

• Kritarth acts solely as a technology and facilitation provider for cashback disbursement.
• Kritarth does not provide banking, wallet, or financial services.
• Cashback amounts are promotional in nature and do not constitute interest, deposit, or financial returns.
• Cashback disbursement is subject to successful UPI transactions and partner bank/payment processor approvals.

14.2 Eligibility & User Responsibility

• Merchants must ensure cashback campaigns comply with RBI, NPCI, Income Tax, GST, and applicable Indian laws.
• End users must have a valid UPI-enabled bank account.
• Users are responsible for ensuring correct UPI IDs / bank details.
• Kritarth shall not be responsible for cashback failures caused by incorrect UPI details, bank/network downtime, user-side issues, or transaction reversals.

14.3 Cashback Funding & Settlement

• Merchants must pre-fund cashback amounts as agreed under commercial terms.
• Cashback will be distributed only after sufficient balance is available.
• Kritarth is not liable for delays caused by insufficient merchant funds, banking or UPI network issues, or regulatory/compliance checks.

14.4 Transaction Failures & Reversals

• Failed or reversed UPI transactions will be handled as per bank and NPCI guidelines.
• Kritarth does not guarantee successful cashback credit in every transaction.
• Duplicate, erroneous, or fraudulent cashback claims may be reversed or withheld.

14.5 Compliance, AML & Monitoring

• Kritarth reserves the right to monitor cashback transactions for fraud or misuse.
• Kritarth may suspend campaigns that appear abusive, misleading, or unlawful.
• Merchants must not use the platform for money laundering, cashback arbitrage, fake transactions, self-transactions, or circular cashback abuse.

14.6 Taxation

• Cashback may be subject to Income Tax or GST as per Indian law.
• Kritarth shall not be responsible for any tax liability arising for Merchants or Users.
• Merchants are solely responsible for determining tax treatment of cashback incentives.

14.7 Limitation of Liability – Cashback Platform

• Kritarth shall not be liable for cashback non-receipt due to UPI/bank issues.
• Kritarth shall not be liable for promotional campaign performance or outcomes.
• Kritarth shall not be liable for user dissatisfaction related to cashback value or timing.
• Total liability related to cashback services shall not exceed the platform fees paid by the Merchant for the relevant campaign period.

14.8 Termination of Cashback Services

Kritarth may suspend or terminate cashback services if regulatory authorities require suspension, the Merchant violates campaign guidelines, or fraudulent/abnormal transaction patterns are detected.

Unused merchant balances shall be settled as per agreed commercial terms after applicable deductions.

14.9 Disclaimer

• Cashback offers are promotional and provided "as-is".
• Kritarth does not guarantee user participation levels, conversion rates, or business growth outcomes.
